As Counsel – Procurement & Vendor Contracting,  you will have the opportunity to work with a dynamic and experienced team on issues impacting Priceline’s business and products globally. You will collaborate closely with our business and procurement teams to negotiate and draft contracts that support the acquisition of technology, marketing and other solutions crucial to our business.  You’ll also work directly with procurement, legal and compliance colleagues across the independent Booking Holdings operating companies. This position requires a proactive, business-oriented legal advisor. Experience in technology and procurement contracting is a plus.

In this role you will work on:

Contract review and risk management

  • Draft, review, and negotiate various contracts, with a focus on technology services, software licensing, SaaS agreements, and other tech-related procurement.

  • Stay updated on relevant regulatory changes, particularly in technology, generative AI and data protection, and provide internal teams with training or guidance as necessary.

  • Identify potential risk areas, provide guidance on compliant solutions, and recommend contractual strategies that mitigate risks while achieving business objectives.

Policy development and strategic recommendations

  • Support developing and implementing standardized contracting templates and processes for various transactions.

  • Analyze existing processes and policies to identify areas for increased efficiency, effectiveness, and alignment with best practices

  • Develop and implement new policies and procedures that improve operational efficiency, streamline workflows, and enhance the overall contract management lifecycle, including building and expanding on self-service options for stakeholders

  • Proactively engage with business and legal  leadership to communicate insights and recommend innovative solutions that advance business goals

  • Scope and advise on technological advancements and solutions that will create more efficiencies and developmental opportunities in the contract management lifecycle

Who you are / What you have:

  • A JD or an LLB/M and being called to at least one provincial bar.

  • 5-8 years experience as an associate at a premier law firm or business. In-house experience, including with a technology company, is a plus, but not essential.

  • Knowledge of comprehensive laws, regulatory requirements and other guidance and standards

  • Familiarity with software licensing, SaaS agreements, and risk management.

  • Ability to clearly organize and inform through excellent written and verbal communication, strong analytical ability, attention to detail and creative, agile problem-solving.

  • Ability to lead, take action, and provide direction – especially in the context of creating or revamping contracting policies and processes.

  • Experience quickly issue-spotting, analyzing, and clearly communicating advice on complex legal issues.

  • Experience using advanced document management systems, such as Conga.

  • A love of diverse, fast-paced environments.

  • An enthusiasm to partner at all levels of the organization.
